Court of Lucerne Rejects Allegations of Liwet against Swiss Steel

Swiss Steel announced that in its decision dated 29 January 2021, the district court has now rejected Liwet Holding AG's request for provisional measure on the grounds that Liwet failed to present credibly valid reasons why the capital increase approved by shareholders on 22 December 2020 could be challenged. Amongst others, the court held that Liwet had failed to credibly show that its minority rights would be violated by the planned capital increase. The court further held that it was not credible that Liwet would be disadvantaged vis-à-vis BigPoint Holding in the planned capital increase in any unjustified manner. Finally, the court recognized that Swiss Steel Holding AG had good reasons for executing the capital increase and rejected Liwet's allegations claiming that the shareholders had not been sufficiently informed.

The decision of the district court is subject to a right of appeal to the Cantonal Court of Lucerne, whereby the district court expressly held that an appeal would have no suspensive effect, unless decided otherwise by the court of appeal. For procedural reasons it is therefore at present not entirely clear whether or when, respectively, the block on the registration will be lifted to enable the company to start the execution of the capital increase. It cannot be excluded that despite the clear findings of the court, Liwet will continue to obstruct the process irrespective of the damage it thereby knowingly causes to the company and all other shareholders. In that case, Swiss Steel Holding AG continues to be determined to defend itself with all appropriate legal remedies against the irresponsible actions of Liwet and its representatives.

As announced on 7 January 2021, Liwet Holding AG obtained a block on the registration with the commercial registry of the Canton of Lucerne of the capital increase, which had been approved with an overwhelming majority at the extraordinary shareholders meeting held on 22 December 2020. Subsequently Liwet filed for an injunction with the district court of the city of Lucerne seeking a provisional measure for the purpose of continuing of the block on the registration.

NLMK USA Steel Shipments Decine by 27% YoY

Shipments from Russian steelmaker NLMK's US based subsidiary declined by 27% to 1.6 million tonnes. Volumes were down across products with cold-rolled shipments falling by 31% to 313,000 tonne, galvanized steel dropping by 28% to 567,000 tonnes and shipments of hot rolled steel down by 25% to 1.176 million tonnes. The company attributed the decline in 2020 to the widespread negative impacts of the Covid-19 pandemic.

In addition, NLMK highlighted a 21pc sequential rise in scrap costs in the US and EU, reflecting the rally in rolled steel prices and demand. Lower scrap collection volumes because of Covid-19 restrictions also played a role, the company said.

Spain Extradites AHMSA Former Chairman Mr Ancira to Mexico

Spanish authorities announced that they have extradited Mexico’s largest integrated steel plant Altos Hornos de Mexico former chairman Mr Alonso Ancira to Mexico to face trial for corruption and money laundering. Mr Ancira was arrested in Mallorca in Spain in May 2019 as he boarded a plane to Canada and was imprisoned for his outstanding charges in Mexico. Last November, Mr Ancira tried to stop Spanish authorities from extraditing him, but a local court rejected his motion. He is expected to appear before a judge in Mexico City and be imprisoned at Reclusorio Norte.

Mr Ancira faces corruption and money laundering charges after he was implicated in the fraudulent sale-purchase of Agros Nitrogenados, a plant fertilizer firm and subsidiary of AHMSA. According to court documents, Ancira sold the firm at an inflated price to Mr Emilio Lozoya, former chief of the state-owned oil company Pemex. Mr Lozoya bought Agro Nitrogenados for USD 475 million when the property was only worth USD 50 million. In addition to this fraudulent sale-purchase, Mexican investigators discovered that AHMSA paid millions in bribes to the Brazilian construction giant Odebrecht and one of its subsidiaries. The subsidiary acted as a shell company and part of the bribes were shared with Mr Lozoya. This corruption case unfolded during the administration of President Enrique Pena Nieto

Mr Ancira was born in Mexico City in 1952. He studied law at the University of Anahuac and got an honorary doctorate degree from the University of Incarnate Word and Texas A&M University. In 1991, he was promoted to Managing Director of AHMSA, and in 1993 he became the President of the National Chamber of Iron and Steel. By 2004, he was appointed as the President of AHMSA and all its subsidiaries. Mr Ancira was at one point the riches person in Coahuila, where he lived, and one of the richest businessmen in Mexico.

Thyssenkrupp Steel Trials Hydrogen Injection into Blast Furnace 9

thyssenkrupp Steel has successfully completed the first phase of hydrogen tests on Blast Furnace 9 in Duisburg. In recent months, several tests on one of the 28 tuyeres of this blast furnace could be conducted, while complying with corona requirements, among them some long term tests. The company has gained important findings in these tests, enabling it to extend the tests to all tuyeres in the next step and to transfer this technology to large scale industrial use. The injection tests are part of the company’s climate strategy with which it intends to reduce its CO2 emissions by 30 percent by 2030.

On November 11, 2019, thyssenkrupp Steel was the first company globally to inject hydrogen into a blast furnace during operation. Hydrogen replaces coal dust as additional reducing agent. The goal is to reduce CO2 emissions – for unlike carbon, hydrogen does not react in the blast furnace to form CO2, but water. The project is funded under the IN4climate.NRW initiative launched by the state government, is scientifically supported by the BFI research institute and supplied with hydrogen by Air Liquide.

A particular focus of the first test phase was on findings on plant technology with the use of hydrogen. To this end, injection of hydrogen was tested on one of the 28 tuyeres of Blast furnace 9 at the Duisburg site. Based on continual data collection and analyses during the 24-hour tests, the team was able to gather extensive information, for instance, on the positioning of the hydrogen lance in the furnace, on flow and pressure conditions and on the interaction between elevated temperatures and plant technology. The collected data were used to optimize the hydrogen technology with each trial. It was also possible to reach the envisaged injection volume of about 1,000 cubic meters hydrogen per hour in the tests.

In the second test phase, the tests will be extended to all 28 tuyeres of the blast furnace, thus paving the way for large-scale industrial use. The focus of research will then be on the impact of hydrogen technology on the metallurgical processes in the blast furnace. The second phase is scheduled to start in 2022, somewhat later than originally planned due to the corona pandemic. While the hydrogen for the first test phase was delivered by truck, a pipeline is required for the quantities of hydrogen needed for the second phase.

The pellets and HBI & DRI continued to prevail in the total volume of iron ore product shipments and amounted to 72.0% in FY 2020

In FY 2020, hot metal production decreased by 16.3% YoY and amounted to 2.3 million tonnes, due to a decrease in the productivity of Blast Furnace 3 at Ural Steel, as a result of preparatory works that took place in Q4 of 2020 for the upcoming reconstruction. Crude steel production increased by 2.0% YoY to nearly 5.0 million tonnes. This growth was mainly a result of the reconstruction of electric arc furnaces using FMF technology at Ural Steel carried out in 2019, an optimisation of repair time at OEMK and the recovery in demand for Rolling Mill 2800's products. Pig iron supplies to third parties decreased from 1.7 million tonnes in FY 2019 to 1.2 million tonnes in FY 2020 due to a decline in production. In FY 2020, pig iron and steel product shipments to the Russian market increased by 1.5% YoY and amounted to 32.1%

In October 2020, the ball rolling facility was launched at OEMK. In Q4 of 2020, shipments amounted to 9,300 tonnes, all of which was shipped to LGOK and MGOK

Tenaris Committed to Greener Steel Production

Word’s leading seamless pipe maker Tenaris continues to seek ways to reduce its environmental footprint through the use of new technologies and optimized processes as part of its commitment to sustainable steel production, in ine with the objectives of the Paris Agreement. Tenaris is aware of its role as an industrial leader in this challenge and is committed to contribute to new products that help to lower overall energy emissions and to further reduce the emissions from its own processes. The sourcing of steel products is one of the decisions an oil and gas company takes that has an impact on the emissions of an overall project. Tenaris already offers products with a relatively low level of emissions since the technology we use for steel production is mainly based on melting recycled scrap in electric arc furnaces. Over the past years, Tenaris has reduced its emissions intensity principally through the introduction of the most energy-efficient technologies in its new facilities, energy efficiency initiatives in its older facilities and investing to securing energy from highly efficient combined cycle power plants.

In Mexico, a state of the art combined cycle natural gas fired power plant began operations in 2017, with a lower emissions factor than the national system, and is supplying 95% of the electricity needs of Tenaris’s seamless mill in Veracruz.

The Bay City in Texas, seamless pipe mill in the US was designed to achieve stringent environmental performance standards in terms of nitrogen oxide air emissions, particulate materials, volatile organic compounds and also CO2 emissions. It is the first seamless pipe mill in the country to be classified as a minor source of emissions by the US Environmental Protection Agency. Located in Texas, this facility uses natural gas as its sole fuel, sources water from existing wells and is actively seeking LEED certification, a green building certification programme recognised worldwide.

Tenaris is now looking to accelerate the reduction of its CO2 emissions intensity through a wider range of alternatives and projects. Dalmine Zero Emissions is one of the new initiatives the company is evaluating and aims to become the first application of green hydrogen on an industrial scale in Italy’s steel sector. For this, Tenaris has partnered with energy companies Edison and Snam to work together in the decarbonisation of Dalmine, Tenaris’s seamless pipe mill in Bergamo. The project involves generating green hydrogen and oxygen through a 20 MW electrolyser to replace natural gas in the steelmaking process.
