   MILAAN (AFN) - Staalconcern ArcelorMittal en bewindvoerders van de failliete staalfabrikant Ilva hebben een principeakkoord bereikt over de huur en overname van een grote fabriek in de Zuid-Italiaanse stad Tarente. De overeenkomst dient als basis voor verdere onderhandelingen. Dat heeft een advocaat van ArcelorMittal volgens persbureau ANSA laten weten.
   
   ArcelorMittal zou de Ilva-fabriek na een huurperiode overnemen, maar zette eerder dit jaar een streep door die overeenkomst. Als reden gaf de staalgigant de opheffing van bescherming tegen milieuclaims door de Italiaanse overheid. De omgeving rond de Ilva-fabriek is sterk vervuild en als onderdeel van de overname zou ArcelorMittal die saneren.
   
   De Italiaanse overheid verzette zich tegen de keuze van Arcerlor om Ilva te laten vallen. De twee partijen stonden vrijdag tegenover elkaar in de rechtszaal om de kwestie.

   Volgens ArcelorMittal is er voldoende basis om door te praten over een nieuw plan voor de noodlijdende fabriek.
   
   Deze onderhandelingen zullen in januari doorlopen. Daarom is ook uitstel aangevraagd tot eind januari om ingrepen te voorkomen.

   AM InvestCo Signs Non-Binding Agreement with Ilva Commissioners
   
   ArcelorMittal announced that AM InvestCo has signed a non-binding agreement with the government appointed Ilva commissioners that forms a basis to continue negotiations on a new industrial plan for Ilva, including discussions on a substantial equity investment by a government-controlled entity. The new industrial plan would contemplate investments in green technology, including through a new company funded by public and private investors. Negotiations will continue into January.
   
   In the meantime, at the hearing on 20 December the Ilva commissioners and AM InvestCo have requested a further postponement, until the end of January, of the Ilva commissioners’ application for interim measures.

   TARENTE (AFN) - Een van de hoogovens van een gigantische staalfabriek van het voormalige Ilva in Zuid-Italië mag blijven draaien. Dat heeft een rechter in hoger beroep geoordeeld, meldt het Italiaanse persbureau ANSA. Op de hoogoven in Tarente werd beslag gelegd wegens een dodelijk ongeluk dat er in 2015 gebeurde.
   
   De installatie mocht sindsdien wel op een minimumniveau blijven draaien omdat de fabriek als geheel anders niet zou functioneren. In december oordeelde een rechter dat de hoogoven toch echt moest worden stilgelegd. Bewindvoerders van Ilva, dat in surseance van betalingen zit, tekenden vervolgens met succes beroep aan.
   
   De failliete Ilva-fabriek wordt momenteel gehuurd door ArcelorMittal, dat de staalfabriek uiteindelijk zal overnemen. Over die overeenkomst met de Italiaanse staat wordt sinds eind vorig jaar gesteggeld, nadat ArcelorMittal had gedreigd uit het reddingsplan te stappen.

   (ABM FN-Dow Jones) De onderhandelingen tussen Italië en ArcelorMittal over de noodlijdende staalfabriek Ilva zullen snel afgerond worden. Dit stelde de Italiaanse premier Giuseppe Conte in een interview met de Italiaanse krant Corriere della Sera.
   
   Op de vraag of de Green Deal van de Europese Commissie ook zal bijdragen aan een financiering van de herstructurering van Ilva, antwoordde Conte dat hij er zorg voor wil dragen dat Ilva een "centrale plek" krijgt in het plan van Brussel.
   
   Verder bevestigde hij dat hij nog steeds met ArcelorMittal aan de onderhandelingstafel zit en dat deze gesprekken vermoedelijk binnenkort afgerond zullen worden. Nadat Rome eerder nog bepaalde garanties introk, probeerde ArcelorMittal de overname van Ilva ongedaan te maken.
   
   "Het doel is ambitieus, namelijk de fabriek opnieuw opstarten, terwijl banen behouden blijven en duurzame energie prioriteit heeft", aldus Conte. "We zijn vastbesloten deze crisis op te lossen, onder meer door gerichte staatsinterventie."

   MILAAN (AFN) - De Italiaanse overheid heeft staalconcern ArcelorMittal gevraagd om een werkgelegenheidsgarantie bij de grote fabriek Ilva in de Zuid-Italiaanse stad Tarente. Dat meldt Il Sole 24 Ore. De krant gaf niet aan waar het de informatie vandaan had.
   
   De overheid en ArcelorMittal moeten van de rechter uiterlijk op 7 februari met een overeenkomst inzake Ilva komen. Het grootste struikelblok lijkt daarbij de werkgelegenheid.

De rechter in Milaan deed dat in de verwachting dat er voor die tijd een compromis wordt bereikt. ArcelorMittal onderhandelt tot eind deze maand nog door over de zaak.

   MILAN (Reuters) - ArcelorMittal (MT.AS) and commissioners of the Ilva steelworks in southern Italy have agreed to extend talks to the end of the month after making progress towards a possible deal to buy the plant, a lawyer for the company said on Friday.
   
   The world’s biggest steelmaker had tried to walk away from a 2018 deal after parliament scrapped a guarantee of legal immunity from prosecution over environmental risks during a clean-up of the heavily polluting factory.
   
   But the steelmaker has since returned to discussions.
   
   “Negotiations between the two parties have made a significant step forward and set a new deadline to Feb. 28,” ArcelorMittal lawyer Ferdinando Emanuele told reporters.
   
   The future of the plant has been a headache to successive Italian governments, which have faced the challenge of balancing the need to clean up years of environmental damage with protecting thousands of jobs in the economically struggling south.
   
   A Milan court was scheduled to discuss on Friday a government bid to stop ArcelorMittal’s withdrawal from the plant, but the hearing has been postponed to March 6 in order to let the two parties reach a final deal, the lawyer added.
   
   Asked if ArcelorMittal could still walk away from Europe’s biggest steel plant, the lawyer said: “I’m not aware. We’re here to negotiate”.
   
   Prime Minister Giuseppe Conte’s government and ArcelorMittal agreed last year to develop a new industrial plan for the site that employs about 8.200 workers in the city of Taranto.

    Diverge Reports about ArcelorMittal Italia Accord
    
    ANSA, citing a legal source, reported that an accord between ArcelorMittal Italia and commissioners of the former ILVA steelworks is expected to be signed on Friday. The source said “The accord includes modification of the rental and acquisition contract to renovate the troubled steel plant in Taranto, as well as the cancellation of a civil suit in the Milan court."
    
    However, ANSA in a separate report said that Italy’s Industry ministry sources have denied that an accord between ArcelorMittal and commissioners of the former ILVA steelworks will be signed on Friday. They said no accord would be signed within the coming week.
    
    The Taranto plant, Europe's largest steelworks, employs some 8,000 of the former ILVA group's 11,000 workers. It has been linked to higher-than-usual cancer rates in Taranto. ArcelorMittal last year withdrew from an accord to keep the ex-ILVA group going.

    TARANTE (AFN) - Staalconcern ArcelorMittal verlaagt zijn geplande investeringen in de voormalige Ilva-fabriek in het Zuid-Italiaanse Tarente. Dat meldt Bloomberg op basis van een nieuw reddingsplan voor de failliete staalfabriek dat het persbureau heeft ingezien.
    
    Aanvankelijk was 's werelds grootste staalfabrikant van plan de komende zes jaar 2,4 miljard euro te steken in de fabriek. Dat bedrag is nu teruggebracht naar 2,1 miljard euro, zou in het nieuwe akkoord tussen ArcelorMittal en bewindvoerders staan.
    
    ArcelorMittal kwam enkele jaren geleden als winnaar uit de bus in de biedingenstrijd om de Ilva-fabriek. Als onderdeel van dat bod beloofde het concern de sterk vervuilde omgeving van de fabriek te saneren. In het nieuwe plan zij de daarmee samenhangende uitgaven teruggebracht naar 464 miljoen euro, terwijl hier eerst 1,1 miljard euro voor werd gereserveerd. De investeringen in de capaciteit van de fabriek zijn juist met 300 miljoen euro verhoogd tot 1,6 miljard euro.

    Reuter reported that ArcelorMittal and commissioners of the Ilva steelworks are set to sign a deal on Wednesday ending a four-month-old dispute over the future of the southern Italian plant. ArcelorMittal lawyer Ferdinando Emanuele and Ilva commissioners lawyer Enrico Castellani told Reuters the agreement would be signed on Wednesday and that both sides would ask the Milan court to drop both the lawsuits. Castellani told Reuters the two sides would file their requests electronically, asking the court to cancel the upcoming hearing of March 6.
    
    The lawyers said details of the deal were confidential.

    ArcelorMittal en de Italiaanse regering hebben een akkoord bereikt over een investering in de voormalige Ilva-fabrieken in Tarente in het zuiden van Italië. Daarmee lijkt een einde te zijn gekomen aan de maandenlange strubbelingen tussen het Europese staalbedrijf en de regering in Rome. Dat heeft ArcelorMittalMT€13,06+1,22% woensdag nabeurs bekendgemaakt.
    
    Investeringen
    De omvang van het geldbedrag is niet bekendgemaakt, maar het gaat om 'een aanzienlijke investering'. In ruil daarvoor zal ArcelorMittal zich niet terugtrekken uit de Italiaanse fabriek, die een zeer vervuilend imago heeft. Het bedrijf zegde eerder in totaal €2,3 mrd toe om de milieuprestaties van het oude-Ilva-complex te verbeteren.
    
    De investeringen zijn vooral bedoeld om milieumaatregelen te treffen om te voorkomen dat de staalfabriek definitief zijn poorten moet sluiten. Onderdeel van de plannen is de bouw van een installatie waarmee milieuvriendelijker ijzer kan worden gemaakt voor de staalproductie. Verder krijgt de fabriek een elektrische vlamboogoven, in staaltermen electric arc furnace genoemd.
    De voorgenomen investering is afkomstig van 'door de Italiaanse staat gesubsidieerde entiteiten' die het geld in een speciaal vehikel storten met de naam AM Invest Co. De investering door de Italianen moet even groot zijn als de verplichtingen van AM Invest die voortvloeiden uit de overname van Ilva. Daarmee verwerft de Italiaanse regering een belang in AM Invest en wordt medeaandeelhouder.
    
    Uiterlijk 20 november van dit jaar moet Italië geld in het investeringsvehikel hebben gestort, zo is vastgelegd in de investeringsovereenkomst tussen AM Invest en de commissarissen van Ilva. Gebeurt dat niet, dan kan AM Invest een vergoeding eisen voor het niet nakomen van de afspraken.
    
    ArcelorMittal, het grootste staalbedrijf ter wereld, nam in 2017 Ilva voor $1,8 mrd over, maar dreigde de fabriek te sluiten vanwege de enorme milieu-investeringen die nodig bleken te zijn. Wel nam het een annuleringsoptie op in het koopcontract als het door ArcelorMittal ingediende milieuplan niet zou worden goedgekeurd.

    ArcelorMittal announced that AM InvestCo and the Ilva Commissioners have signed an amendment to the original lease and purchase agreement for Ilva. The Amendment Agreement outlines the terms for a significant investment by Italian state-sponsored entities into AM InvestCo, thereby forming the basis for an important new partnership between ArcelorMittal and the Italian government. The equity investment by the Italian Government in Ilva, to be captured in an agreement to be executed by 30 November 2020, will be at least equal to AM InvestCo’s remaining liabilities against the original purchase price for Ilva. The Amendment Agreement is structured around a new industrial plan for Ilva, which involves investment in lower-carbon steelmaking technologies. The core of the new industrial plan is the construction of a DRI facility to be funded and operated by third party investors and an EAF to be constructed by AM InvestCo.
    
    In addition, AM InvestCo and the Ilva Commissioners have entered into a separate settlement agreement whereby AM InvestCo agreed to revoke its notice to withdraw from the original agreement and the Ilva Commissioners agreed to withdraw their request for an injunction, which was scheduled to be heard in the Civil Court of Milan on 6 March 2020.
    
    In the event that the Investment Agreement is not executed by 30 November 2020, AM InvestCo has a withdrawal right, subject to an agreed payment.
    
    Final closing of the lease and purchase agreement is now scheduled by May 2022, subject to various conditions precedent*.

    ArcelorMittal signs deal to suspend plans to exit Ilva steelworks

    MILAN (Reuters) - ArcelorMittal (MT.AS) said on Wednesday it had signed a deal that would see a significant injection of Italian state funding into the Ilva steelworks and would suspend a bid to walk away from the troubled plant, which it took over in 2018.
    
    The accord provides a respite in the four-month dispute that has seen ArcelorMittal threatening to hand back Ilva to the government after disagreements over plans to rescue the plant that was losing 2 million euros ($2.2 million) a day last year.
    
    The deal will see Rome taking an equity stake at least equal to Arcelor Mittal’s remaining liabilities against the original purchase price for Ilva.
    
    If the agreement is completed, the original lease and purchase agreement under which ArcelorMittal, the world’s biggest steelmaker, took over Ilva will close by May 2022.
    
    However final settlement will depend on a new investment plan being executed by November 30. Otherwise ArcelorMittal said it could withdraw from the deal subject to an agreed payment.
    
    The future of the plant has been a headache to successive Italian governments, which have struggled to balance the need to clean up the polluted site in the southern city of Taranto and that to safeguard thousands of jobs in the underdeveloped south.
    
    Last year, ArcelorMittal announced it was pulling out of the 2018 takeover agreement after parliament scrapped a guarantee of legal immunity from prosecution over environmental risks during a clean-up of the heavily polluting factory.
    
    In response, the Ilva commissioners requested an injunction to block the move in a case that was scheduled to be heard in a Milan court on Friday but which will now be dropped..
    
    Under the investment plan, Ilva will invest in lower-carbon steelmaking technologies, with a DRI (Direct reduced Iron) facility to be built, funded and operated by outside investors, and an EAF (Electric Arc Furnace) to be built by ArcelorMittal.
    
    Italian trade unions criticized the accord which it said left key questions open on the future of a plant that employs more than 8,000 workers with thousands more dependent as suppliers or contractors.
    
    “There is a total unknown on ArcelorMittal’s financial commitment in the new company,” the Cgil, Cisl and Uil unions said in a joint statement.
    
    “This agreement only resolves legal disputes but does not provide answers on the main nodes of the group’s plants”, Rocco Palombella, head of metalworkers’ union Uilm.

    Luxembourg-based steelmaker ArcelorMittal has decided to temporarily reduce production and shut down several operations in Italy in response to the coronavirus outbreak, according to the union Fiom.
    
    ArcelorMittal confirmed that production will be reduced at Taranto, with the workforce more than halved to around 3,800.
    
    The shutdowns will include blast furnace number two, steelmaking shop one, hot-strip mill one and the cold-rolling mill, and will be implemented within the next week, with some shutdowns already in progress.
    
    Following European carmakers' announcements over the past week about plant closures, Italian original equipment manufacturers have also decided to implement closures.
    
    ArcelorMittal Italy decided on 13 March to reduce activities at its plant by 25pc. It told unions it planned to close the heavy plate mill, which was recently restarted, as well as some processing facilities.
    
    "Fiom and Uilm have made additional specific requests to dramatically reduce the number of staff within the factory," Fiom said. Yesterday, the unions said an agreement had been signed with the government outlining safety measures, but that it was still up to individual companies to decide whether to stop or reduce activities. The unions previously asked for a halt until 25 March in order to sanitise plants.
    
    It is unclear how long the shutdowns will last, as the coronavirus continues to spread across Europe. ArcelorMittal has also decided to postpone the restart of its Krakow blast furnace in Poland, which it had planned for mid-March.

    TARENTE (AFN) - Staalfabrikant ArcelorMittal wil al het personeel van zijn fabriek in het Zuid-Italiaanse Tarente tijdelijk naar huis sturen. Het bedrijf stuurde een brief over die plannen naar de vakbonden, meldt persbureau Bloomberg. Daarmee reageert het bedrijf op door de overheid opgelegde productiebeperkingen.
    
    De vakbonden hebben nog niet gereageerd op de plannen. In totaal betreffen de plannen ruim 8000 werknemers, die vanaf maandag negen weken niet zouden hoeven komen werken. ArcelorMittal heeft de bonden opgeroepen om snel in overleg te gaan.
    
    In Italië ligt het openbare leven al enige tijd stil vanwege de maatregelen om de uitbraak van het coronavirus in te dammen. Eerder deze week dreigden vakbonden nog met stakingen omdat te veel fabrieken in hun optiek waren aangemerkt als essentieel en daardoor open moesten blijven. Daarbij ging het wel vooral om fabrieken in het zwaar getroffen noorden van het land.

    ArcelorMittal Italia to Present New Plan to Revive Ilva Steel Plant
    
    Italian media reported that after latest talks over the fate of the former Ilva steel smelter in southern Italy with government officials is now expected to provide its industrial plan for the plant’s turnaround sometime in early June as state would play a direct role in assuring the facility would emerge stronger from its ongoing environmental, labor, and production struggles. ArcelorMittal italia head Ms Lucia Morselli said “We want to move forward and we will be ready to present a plan in around ten days. We also want to maintain the integrity of the plant and its importance at the European level. We want to honor the commitments made to the end even with the difficulties caused by Covid.”
    
    Minister of Economy and Finance Roberto Gualtieri said “The government is willing to intervene directly in order to have a strong Ilva again. We want an Ilva that produces again, which is a world leader, which provides jobs for 10,700 workers, and which makes significant investments.”
    
    The latest developments could prove to be positive news for the Italian economy, which is expected to shrink by around 10 percent this year as it struggles with the impacts of the global coronavirus outbreak. For all its problems, Ilva is among the largest single employers in southern Italy.
    
    In February and March, as the coronavirus was spreading in Italy, ArcelorMittal said it would abandon Ilva, which when running at full capacity is Europe’s largest steel smelter. But the government stepped in to try to convince ArcelorMittal to stay the course.

    ArcelorMittal Ilva Plant Union to Strike Over Job Plans
    
    Reuters reported that Unions representing workers at the Ilva steel plant in southern Italy called a strike for Tuesday to protest at reported plans by ArcelorMittal for thousands of job cuts at the struggling facility. The call by the FIM, FIOM and UILM unions came after Industry Minister Stefano Patuanelli accused the group of failing to respect the terms of a rescue agreement signed with the government in March. Patuanelli said on Saturday that an industrial plan presented by the group last week was not in line with the March agreement and that ArcelorMittal appeared to be using the COVID-19 emergency as an excuse for not sticking to the agreement.
    
    Under that agreement, ArcelorMittal agreed to suspend plans to walk away from the plant in the southern city of Taranto, which it acquired in 2018, in exchange for a significant injection of state funding.Italian media reported at the weekend that a new industrial plan presented to the government late on Friday included 5,000 job cuts. A spokeswoman for ArcelorMittal confirmed the group had presented a plan but declined to provide details.

    Italian Government Rejects ArcelorMittal Plan for Ilva
    
    The Italian government has rejected the new industrial plan presented by ArcelorMittal Italia for the Taranto-based steelmaker formerly known as llva. Economic development minister Stefano Patuanelli said "The proposal presented by ArcelorMittal is unacceptable because it impacts both employment levels and the investment plan, extending the time period excessively. Over time, we understood that the abolition of the criminal immunity was a pretext to return the plants. The Taranto factory cannot be used like an accordion, that is, when things are good it produces and when things are not good production is reduced - also because ArcelorMittal does not have Taranto as its only plant.
    
    Italian economy minister Roberto Gualtieri judged the plan to be inadequate. He said "It is evident that Covid exists and it is therefore legitimate, compared to a previously defined schedule, to take into account such an event: but it is equally true that this plan goes far beyond a simple adaptation of the previous plan to the circumstances. Furthermore, the new plan does not take into account the fact that at European and national level there is a strong push for investments that will create steel demand. Italian government is willing to take into account the impact of Covid-19 in putting its proposal on the table. However, we are talking about something very far from what has presented to us.”
    
    The new industrial plan presented by ArcelorMittal provides for approximately 5,000 redundancies in total and a production of 6 million tonnesof steel per year at least until 2025. In addition, it entails the postponement of environmental investments and the request for funding and state resources. The company explained all this by claiming a dramatic worsening of prospects following the Covid-19 emergency.
