is mij niet duidelijk hoe de voorwaarde luidende
“Nothing in Clause 11 shall … require the Offeror to:
(a) file or provide any information (whether written ororal) or documentation unless the contents thereof are consistent with the level and scope of information and documentation previously made available by The Blackstone Group International Partners LLP to ECB and/or other European financial regulators, in each case, in connection with the acquisition of a European bank; or
(b) do, accept or agree to anything that would affect the viability of the Business Plan or would materially prejudice the achievement of the Business Plan”.
de deal in gevaar kan brengen.
Zelfs al zou enig toezichthouder meer kapitaal eisen (niet voor de hand liggend bij een overname) dan zal dat niet verder gaan dan tot wat in de eerste paragraaf al is aanvaard door BX.
Stel dat enig toezichthouder zeggen: “hé jongens en meisjes, dat business plan van jullie is veel te ambitieus want de wereld stort in elkaar. Zet je ambities maar wat lager.” (Ook onwaarschijnlijk, maar stel dat.)
Dan is die veronderstelde eis (stel je ambities wat lager) toch niet iets wat de viability van het tussen partijen overeengekomen business plan ongunstig beinvloedt? Dat is oorzaak en gevolg door elkaar halen.
