   Exor becomes a long-term investor in Philips supporting the company’s strategy
   
   Amsterdam, the Netherlands – Royal Philips (NYSE: PHG; AEX: PHIA), a global leader in health technology, and Exor N.V. (AEX: EXO), the Netherlands-based diversified holding company, announce they have entered into a relationship agreement as a result of which Exor has bought a 15% shareholding in Philips. This investment by Exor is fully supportive of Philips’ leadership, strategy and value creation potential and provides for Exor to nominate one member to the Supervisory Board of Philips.
   
   Philips’ strategy and value creation plan with sustainable impact is based on its purpose to improve people's health and well-being through meaningful innovation. The company has leading market positions in attractive health technology market segments enabled by an innovative portfolio and strong customer base.
   
   Exor aims to build great companies providing stable and committed support for their long-term value creation plans. The discussions between Exor and Philips were initiated in the context of Exor’s stated interest in increasing its presence in the healthcare and technology sectors. Exor’s investment in Philips will not result in any share dilution and has been carried out by way of on-market share purchases and an agreement with a major financial institution.
   
   The relationship agreement includes Exor’s commitment to be a long-term minority investor and the right to propose one member to the Supervisory Board, as well as several customary conditions. While Exor does not plan to buy further Philips shares in the short term, over time the relationship agreement provides for Exor, at its discretion, to increase its participation to a maximum limit of 20% of Philips’ outstanding ordinary share capital.    (ABM FN-Dow Jones) Exor heeft een belang van 15 procent gekocht in Philips en is van plan dit belang langdurig aan te houden. Dit maakten de twee bedrijven met een notering in de Amsterdamse AEX maandag voorbeurs bekend.
   
   Exor wilde de blootstelling aan de sectoren healthcare en technologie vergroten en zei de strategie van Philips volledig te ondersteunen.
   
   De aandelen Philips werden door Exor gekocht op de beurs en van een grote financiële partij. Deze partij werd maandag niet bij naam genoemd. Ook over de aankoopprijs werd niets vermeld.
   
   Op korte termijn wil Exor het belang niet vergroten, maar er zijn afspraken met Philips gemaakt dat op langere termijn het belang mag stijgen tot maximaal 20 procent.
   
   Exor krijgt het recht om een commissaris voor de RvC van Philips voor te dragen.
   
   Exor is sinds 12 augustus vorig jaar genoteerd aan Euronext Amsterdam en is sinds 6 december opgenomen in de AEX index. De investeerder heeft zijn grootste belangen in Ferrari, Stellantis en CNH Industrial.
   
   Volgens data van Euronext had Philips afgelopen vrijdag een marktkapitalisatie van 17,2 miljard euro.

   Mooi nieuws!, kan Philips goed gebruiken en lijkt mij signaal dat Exor enig onderzoek naar de risico’s van de Resperonics cases zal hebben laten uitvoeren.
   Ik kan me voorstellen dat de koers vandaag opveert.

    Hopsa. Philips staat op €30 eind 2024 kids. Thesis wordt hier bevestigd, exor gooit geen 2.6bn ergens naartoe als er echt “miljarden downside” in zit.

    Dit Exor-nieuws gaat inderdaad een grote koerstrigger zijn. Voor Exor zit er een positieve businesscase in, van bestuurders die bij Fiat / Stellantis / Exor gepokt en gemazeld zijn in produceren / handelen in de hyper commerciële automarkt. Dunkt mij een uitstekende samenwerking. Ben met name ook benieuwd wat de koers van Exor gaat doen. En natuurlijk ook of dit nieuws ook andere investeerders weer wakker schudt.     The Agnelli family’s Exor NV bought a minority stake in Dutch medical technology company Koninklijke Philips NV, which is still working through a costly product recall, as part of a plan to expand in healthcare.
    
    Exor, a holding company, bought a 15% stake in Philips through on-market share purchases and an agreement with a major financial institution, according to a statement Monday. The deal is valued around €2.6 billion ($2.8 billion), a Philips spokesperson said.
    
    While Exor does not plan to buy further Philips shares in the short term, the deal allows the company to increase its stake to a maximum of 20% of Philips’ outstanding ordinary share capital, according to the agreement. Under the leadership of John Elkann, Exor has been diversifying its investments in recent years beyond the car industry to tech and luxury. Exor’s net asset value totaled about €28 billion at the end of December.
    
    “The path of change taken by Philips in recent years has created a company that combines two areas – health care and technology – to which we are committed,” said Elkann, the billionaire family’s leader and Exor’s chief executive officer, said in the joint statement.

    Philips, a maker of ventilators and cardiographs, has been grappling with uncertainties surrounding a recall of millions of medical devices to treat sleep apnea since June 2021. The company has set aside around €1 billion to recall around 5.5 million devices and booked additional provisions of €575 million as part of a planned settlement in the US to compensate patients.
    
    The Agnelli family owns 53% of Exor through a separate holding company named after Fiat founder Giovanni Agnelli that includes dozens of his descendants as investors. Exor also controls sports carmaker Ferrari, Juventus Football Club and owns stakes in carmaker Stellantis, as well as The Economist Group.
    
    Exor last year cashed in $9 billion through the sale of reinsurer PartnerRe to France’s Covea. The holding plans to focus on expansion in health and luxury, as well as on technology.
