   NEW YORK, Jan 5 (Reuters) - VaxGen Inc. (VXGN.O: Quote, Profile , Research) said on Friday it would cut its work force by about 51 percent and was in talks with potential buyers for the company after the U.S. government ended an $877.5 million deal with VaxGen to provide anthrax vaccine.
   
   "In addition to the $96.6 million in cash, cash equivalents and short-term securities that VaxGen held as of Dec. 31, 2006, the company has a number of significant assets of potential value to an acquirer or merger partner," Vaxgen Chairman Randall Caudill said in a statement.
   
   "We are already in early-stage discussions with several potential strategic partners," Caudill added.
   
   VaxGen also announced that Lance Gordon has resigned as president and chief executive and would be replaced by James Panek, who had been executive vice president.

   VaxGen formed a joint venture in February 2002 with a group of South Korean partners to build and operate a large-scale biopharmaceuticals manufacturing facility in Incheon, South Korea, called Celltrion, Inc., and to fund construction of a smaller facility in California.
   
   The California-based facility, owned and operated by VaxGen, opened in June 2003 and includes approximately 20,000 square feet of manufacturing space as well as quality control laboratories, office and expansion space.
   
   The facility houses cGMP suites, which include 1,000-liter, 200-liter and 20-liter bioreactors as well as downstream processing capabilities. An additional 30,000 square feet are available to support production and quality control operations and allow for additional cGMP capacity.
   
   This facility was designed for the flexible manufacture of biopharmaceutical products including those grown in bacteria, as well as products produced in mammalian cell culture, such as monoclonal antibody therapeutic products.

   Een volgende logische stap zou een acquisitie zijn van een vaccineproducent in de Verenigde Staten. En als het even kan eentje met een productiecapaciteit. Mogelijke kandidaat zou het beursgenoteerde VaxGen kunnen zijn. Het concern beschikt over productiefaciliteiten in zowel de VS en ook in Korea.
   
   VaxGen heeft een belang in de Koreaanse joint venture Celltrion. Celltrion heeft een productiecapaciteit van 50.000 liter. Wellicht een mooie fit met Green Cross Vaccines, een Koreaanse dochter van Berna die Crucell nu ook in handen krijgt.
   
   Verder heeft VaxGen een interessant contract met de Amerikaanse overheid voor de levering van vaccines tegen miltvuur (Anthrax) ter waarde van ruim USD 800 miljoen. VaxGen heeft een beurswaarde van USD 250 miljoen en lijkt niet genoeg geld in kas te hebben om de pijplijn verder te financieren.
   
   Doelwit Baxter
   Daarnaast is mogelijk ook de vaccinedivisie van Baxter een interessante. Baxter had de ambitie om een vaccinespeler van wereldformaat te worden, maar daar is de laatste jaren wat de klad in gekomen door problemen met de eigen cellijn.
   
   Baxter heeft een belang in de Britse vaccineproducent Acambis en maakt voor de Amerikaanse overheid vaccines tegen pokken. Het concern heeft in vaccines evenals Crucell de focus op infectieziektes.
   
   Kortom, met de overname van Berna door Crucell en eerder dit jaar de overname van Chiron door Novartis lijkt de consolidatie in de vaccinemarkt in gang te zijn gezet. Crucell heeft een goede uitgangspositie om nu door te stoten en werkelijk een wereldspeler te worden in vaccines. Wordt vervolgd.

   Maar ook op dat resultaat valt wat af te dingen. Het aantal onderzochte kleurlingen (net geen 500) is eigenlijk te laag voor wetenschappelijke uitspraken, ziet VaxGen ook wel in. "Het is een resultaat dat om nader onderzoek vraagt", vindt prof Jaap Goudsmit, aidsdeskundige en onderzoeksdirecteur bij het farmaciebedrijf Crucell. "Het is niet de sterkste opzet om achteraf op zoek te gaan naar een positief resultaat en dan vast te stellen dat het middel iets lijkt te doen onder zwarten. Intrigerend vind ik dat wel, maar overtuigend is het niet. Ik zou de bekendmaking van VaxGen conservatief benaderen. Het is heel vervelend en heel jammer, maar het vaccin werkt gewoon niet."

   Brisbane-based VaxGen (Pink Sheets: VXGN - News) has struggled to change its business strategy since its original vaccine, for HIV, failed in November 2003.
   
   The company expects to net about $49 million from the sale. Three related businesses -- Nexol Co., Nexol Biotech Co. and Nexol Venture Capital Co. -- bought the shares from VaxGen.
   
   As of Dec. 31, VaxGen had cash and equivalents worth $96.6 million, including the proceeds of this sale.
   
   Lazard advised VaxGen on the sale.

    BRISBANE, California – January 5, 2007 – VaxGen Inc. (Pink Sheets: VXGN.PK) announced today that it has restructured the company to significantly reduce operating costs and is actively pursuing avenues to enhance shareholder value through a strategic transaction.
    
    Additionally, the company announced that Lance K. Gordon, Ph.D., has resigned as VaxGen's President, CEO and Executive Director. He will remain as an adviser to the company. VaxGen's Board of Directors unanimously appointed James P. Panek, VaxGen's Executive Vice President, as the company's new President and CEO and appointed him to fill the board vacancy left by Dr. Gordon.
    
    "Lance Gordon was the architect of VaxGen's strategy to become a leader in biodefense and to develop its now significant capabilities in process development and GMP biopharmaceutical manufacturing," said Randall L-W. Caudill, Chairman of VaxGen's Board of Directors. "In addition, under his leadership, VaxGen played a pivotal role in the establishment of Celltrion, an undertaking which recently culminated in the realization of substantial financial benefit through the sale of VaxGen's holdings in Celltrion.     VaxGen has retained Lazard to advise the company in exploring strategic alternatives. The process is being overseen by Mr. Caudill, former co-head of Investment Banking for Prudential Securities, and will entail a broad evaluation of potential M&A opportunities. Mr. Caudill will be joined in this effort by Franklin M. Berger, CFA, a VaxGen director and former Managing Director, Equity Research, and Senior Biotechnology Analyst at J.P. Morgan Securities, Inc.
    
    "In addition to the $96.6 million in cash, cash equivalents and short-term securities that VaxGen held as of December 31, 2006, the company has a number of significant assets of potential value to an acquirer or merger partner," Mr. Caudill said. "We are already in early-stage discussions with several potential strategic partners and intend to aggressively pursue our opportunities to develop and realize the full value of all our capabilities and assets."
    
    As a result of the restructuring, VaxGen estimates that the company's workforce will decrease by approximately 51% and its monthly net cash expenditures will be halved to less than $3 million. The company will incur a one-time cash restructuring cost of approximately $3.0 million related to employee separation expenses. The restructuring follows a decision by the Department of Health and Human Services on December 19, 2006 to cancel VaxGen's Strategic National Stockpile (SNS) contract to provide 75 million doses of its recombinant anthrax vaccine for civilian biodefense. VaxGen is also pursuing remedies to eliminate the potential liability associated with the U.S. government's termination for default of the company's SNS contract.
    
    VaxGen owns a recombinant protein manufacturing facility in South San Francisco capable of producing proteins in either microbial or mammalian cell systems. The 1,000-liter facility is currently used to manufacture the recombinant bulk protein antigen for VaxGen's anthrax vaccine candidate. As part of the restructuring plan, VaxGen has substantially downsized its Manufacturing and Quality Assurance/Quality Control functions, but has retained the resources needed to develop, manufacture, test and release cGMP product at commercial scale, albeit at a reduced throughput. The company will also retain capabilities necessary should it transfer its anthrax vaccine technology.

    Kopen als het kan. Als er geen addertjes onder het gras zitten, zal er zeker 4 á 5 voor betaald moeten worden. Koers nu 2.51.
    
    Zeer tegen de zin van sommigen op het forum zullen dan weer aandelen tegen een zo scherp mogelijke koers geplaatst moeten worden.
    
    Maar de concurrentie zal ook niet stilzitten.

    HIV vaccin heeft reeds gefaald, waarschijnlijk Antraxvaccin ook, anders was de order niet opgezegd. Dus wat blijft er over, enkel cash en kasten waar dan geen lijken mogen uitvallen. Een productiefaciliteitje van 1000 of 10.000 liter is nu ook niet het van het. Dus afblijven , is verloren geld

    js238881, ik ben het helemaal met je eens (AB).
    
    Toevallig heb ik onlangs ook eens verdiept in Vaxgen. Ik zie niet echt de toegevoegde waarde van Vaxgen voor Crucell, maar wel een hoop potentiële risico's. Het is duidelijk dat deze toko jarenlang slecht gemanaged is en ik vraag me af hoeveel lijken er nog in de kast zitten. Bijgaande quote moet mijns inziens daarbij zeker niet worden onderschat:

    Crucell zou er m.i. goed aan doen zich te concentreren op verdere integratie van de bestaande onderdelen en het uitbouwen van PER.C6 en STAR. De aankoop van kleine, succesvolle collega's met een goed netwerk (a la SBL) zou wat mij betreft kunnen, maar laat ze zich alsjeblieft niet met Vaxgen inlaten: wie weet krijgt deze dwerg het straks voor elkaar om heel Crucell om zeep te krijgen, nee dank je!

    Volgens mij kunnen wij het overnamebeleid beter aan het management van crucell overlaten.
    
    Zij hebben een goede visie zo blijkt wel; Berna verliesgevend en met Quinvaxem plots winstgevend. Lage prijs uiteindelijk betaald voor deze 'verborgen' waarde in Berna.
    SBL zal nog ook wel een leuk positief surprise uit voortkomen, reken maar! (zie mijn SBL draadje).

    Zou wel eens willen weten wat de verdienste is van Crucell's MT in de winstgevendheid van Berna. Imo is Quinvaxem en de sanering op het conto van het oude Berna te schrijven. Crucell was er sneller bij dan de cijfers konden vertellen en Berna was een juiste fit voor wat toen Crucell was, dat is volgens mij de juiste draagwijdte.
    Nou van antrax lig ik niet zo wakker, is dat trouwens een infectieziekte of heeft het eerder met bioterror bestrijding te maken ?

    Bedankt, was dusver mij alleen bekend van bioterror acties enkele jaren geleden. Vaccin tegen antrax vult blijkbaar de emerging vaccine portefeuille van Crucell aan, toepasbaar bij bevolking die in nauw verband leven met hun veestapel en/of reizigersvaccin voor hen die deze volkeren bezoeken of ermee in contact komen.
