"Cliff was just climbing the walls," one longtime friend and former Enron colleague tells Newsweek in the current issue. "He was extremely concerned about what was happening, about the long-term implications for him, for his family, for his children, for his life." Congressional committees wanted him to tell all he knew about the company's shady accounting practices and furious shareholders named him as a defendant in a civil lawsuit. Baxter retired last May, saying he wanted to spend more time with his family. Privately, some speculated that he had had enough of Enron's way of doing business, Newsweek reports in the February 4 issue (on newsstands Monday, January 28). However, one friend says, "It was just time for him to leave." Another friend tells Newsweek that when an internal memo was made public -- a memo warning then Enron CEO Ken Lay that Baxter complained "mightily to ...all who would listen" about the inappropriate business dealings with an offshore company -- Baxter became increasingly anxious. "That pushed him closer to the edge more than anything," she says. In an accompanying article profiling Enron's former CEO Ken Lay, Assistant Managing Editor Evan Thomas and Los Angeles Correspondent Andrew Murr reports that in the midst of the scandal, reports of shredded documents and the news of Baxter's death, friends describe Lay as stoic if slightly bewildered by it all. Newsweek also reports that in 1985, when Lay was an energy company executive, he merged Houston Natural Gas Co. with Nebraska-based Inter-North. The deal was financed by junk-bond king Michael Milken. And HNG's accounting firm, Deloitte Haskins Sells, was "not as creative and imaginative as Ken wanted them to be," recalls HNG's chief financial officer at the time Michael Pieri.
