    Golden Reign Resources Ltd. announced Initial Public Offering of its common stock. The offering will be comprised of a minimum of 8,000,000 units at a price of $0.40 per unit. Each unit consists of one common share and one transferable warrant. One warrant will entitle the holder thereof to purchase one warrant share for a period of two years from the date of closing of the offering at a price of $0.50 per warrant share. This prospectus qualifies the distribution of the common shares and warrants issued under the offering. The net proceeds raised by the Company are $2,944,000.

    Tja en wat is er in de tussentijd gebeurd? Niet veel , behalve dat de boekhouder is weggelopen. Wederom geen goed teken mbt de vreemde praktijken omtrent de plaatsing van de warrants.

    De koers doet helemaal niets, en wil al helemaal niet door het aloude plafond op 0,75.
    Dit is echt waardeloos voor de niet-insiders gebleken.
    Pas wanneer McEwen naar zijn mening genoeg gecompenseerd is voor zijn reddingsactie zit er mss weer wat muziek in.

    Minera Andes Inc. Announces Change of Auditor

    Minera Andes Inc. announced that the Board of Directors have appointed KPMG LLP, of Toronto, Ontario (the Successor Auditors) as the auditors of the Company. BDO Dunwoody LLP of Vancouver, British Columbia (the Former Auditors) have resigned as auditors of the Company effective September 29, 2009. There have been no reservations in the Former Auditor's reports on any of the Company's financial statements commencing at the beginning of the two most recently completed financial years and ending on the date of the Former Auditor's resignation.

    Hochschild files suit against Minera Andes seeking project financing repayment

    · Despite a $65 million loan disbursement by Hochschild, Minera Andes, Inc. and Minera Andes SA have refused to execute formal loan agreement documents for three years

    · Hochschild provided a project finance loan to the co-venture entity, Minera Santa Cruz, for the construction of the San José mine in Argentina

    · Minera Andes has caused an undue delay in documentation and repayment of this loan by refusing to execute formal loan documents

    · Legal action has no impact on the running of the San José mine, which is operated by Hochschild

    Hochschild Mining plc ("Hochschild") today announces that it has filed suit in the New York State Supreme Court, asking that Minera Andes, Inc. ("MAI") of Alberta, Canada and its subsidiary, Minera Andes SA ("MASA"), be required to execute formal loan agreement documents for the $65 million project financing loan Hochschild provided to the San José gold and silver project in Argentina.

    The mine, a co-venture between Hochschild and MAI, has been in operation since June 2007. Under the terms of letter agreements between the parties executed in October 2006, Hochschild alone provided the full amount of the project financing, totalling $65 million in instalments between October 2006 and July 2007.

    Minera Andes, which claims to have one of the world's largest undeveloped copper deposits in the Los Azules deposit, has released an updated preliminary assessment on the Argentinian property.

    Located in 80 kilometers from the town of Calingasta in the San Juan Province of western-central Argentina, Los Azules could have a mine life of 25-years at a nominal mill capacity of 100,000 tpd.

    Minera Andes CEO Rob McEwen, one of the world's best known gold mining entrepreneur's, said, "The Los Azules Copper Project is an advanced-stage porphyry copper exploration project located in the cordilleran region of the San Juan Province, Argentina, near the border with Chile." The company estimated that 18% of the world's copper resources lie in the Andean Cordillera Region.

    The preliminary assessment by Samuel Engineering of Greenwood Village, Colorado, estimated an initial capex cost of $2.85 billion for the open-pit mining project. An updated mineral resource estimate released on June 21, outlined 2.2 billion pounds of contained copper in an indicated resource. The deposit is also believed to contain 0.07 grams per tonne of gold and 1.7 grams per tonne of silver in both indicated and inferred resources.

    Minera Andes also claims an inferred resource of 10.3 billion pounds of copper. The project was originally a Battle Mountain Gold property which conducted an exploration program from the mid-1980s the mid-1990s. The property was then acquired by Solitario Resources. It was subsequently drilled by Xstrata Copper in 2004, which eventually elected not to exercise its option to acquire 51% of the project and assigned its stake to Minera Andes in 2009.

    Minera Andes controls approximately 28,400 hectares of mining rights in the area of the Los Azules deposit. In addition, the Company owns what it believes are sufficient surface rights for the project. Thus far, only 20% of the system has been drilled, according to Minera Andes.

    Samuel Engineering suggested a prefeasibility study be conducted on the project at an estimated cost of $26.9 million.

    Among the Minera Andes personnel now involved is the project is COO James Duff, a former executive for Coeur d'Alene Mines in Bolivia during the development of Coeur's San Bartolome silver mine.

    TORONTO (miningweekly.com) – Goldcorp founder Rob McEwen has announced plans to merge two junior companies he runs into a new Americas-focused miner, and wants the merged entity, to be named McEwen Mining, to qualify for the S&P 500 index by 2015.

    McEwen is the CEO, chairperson and biggest shareholder in both Minera Andes, a producing company focused in Argentina, and US Gold, which has projects in Mexico and Nevada.

    If the merger went ahead, the combined market capitalisation of the two would be some $1.4-billion, although McEwen believes the company should move fairly quickly towards $2-billion after the deal closes.

    That still leaves some way to go for the minimum $5-billion required qualify for the S&P 500, after new rules raised the threshold from a previous $3.5-billion.

    McEwen, who has focused on investing in and running junior companies since leaving Goldcorp, conceded on Tuesday that the $5-billion requirement may be “a stretch”, but said he is still aiming to qualify for the index by 2015.

    “That's the game plan,” he said in an interview after US Gold's annual shareholders meeting in Toronto. Future growth would come from both acquisitions and internal development, he said, without giving more details.

    McEwen, who does not take a salary from the companies in which he invests, owns about 20% of US Gold and 30% of Minera Andes. His interest in the combined company would be around 25%.

    Post merger, McEwen Mining would have silver production of around 2.5-million ounces this year, increasing to an annualised 7.5-million ounces by 2014, which would put it among the top ten primary silver miners, McEwen said.
