POET Technologies Advances Toward Nasdaq Listing

TORONTO, Feb. 22, 2022 (GLOBE NEWSWIRE) -- POET Technologies Inc. (“POET” or the “Company”) (TSX Venture: PTK; OTCQX: POETF), the designer and developer of the POET Optical Interposer™ and Photonic Integrated Circuits (PICs) for the data center and tele-communication markets, today announced as the key next step in its Nasdaq listing process that it has determined to proceed with a ten-for-one consolidation (“the Consolidation”) of its common shares (“Common Shares”) in order to meet Nasdaq listing requirements and the Company’s own post-consolidation price target.

The Company expects that trading of the Common Shares on a post-consolidation basis on the TSX Venture Exchange (the “TSXV”) will commence on or about Monday, February 28, 2022. The Company’s name and trading symbol (“PTK”) on the TSXV will remain unchanged. The Consolidation was previously approved by the Board on the recommendation of its Subcommittee, as well as by shareholders at the recent annual general and special meeting of shareholders of the Company.

The Board believes the Consolidation will result in a number of potential benefits to POET, including meeting the minimum bid price requirement for the Nasdaq listing and achieving a post-Consolidation share price target that will support attracting a broader institutional investor base for the Company. The Company has been notified that an approval letter from the Nasdaq will be issued following a minimum 5 days of trading of its post-consolidated shares on the TSXV. The Company’s common shares are expected to begin trading on the Nasdaq approximately 7 – 10 days following consolidation, but the timing cannot be assured. Once final, the Company’s shares will trade on the Nasdaq Capital Market under the symbol “POET”.

“We have said that we would uplist to the Nasdaq when the time was right and from a position of strength, and we believe that time is now,” said Suresh Venkatesan, Chairman & CEO of the Company. “We are making substantial progress across a broad range of prospective customers with both standard and advanced products. Although there is still much work to be done in collaboration with customers and suppliers to achieve commercial success, it is abundantly clear to us that the Company is moving in the right direction, both technically and commercially. We believe we should act now and advance to a stock market where we believe POET’s accomplishments and future potential will be more widely appreciated and rewarded.”

The Consolidation has no material impact on the dollar value of investor’s shares. The 364,967,272 Common Shares currently issued and outstanding will be reduced to approximately 36,496,727 Common Shares on a post-consolidation basis. No fractional Common Shares will be issued as a result of or upon the Consolidation. All fractions of post-consolidation Common Shares will be rounded down. Outstanding stock options and share purchase warrants will also be adjusted to give effect to the Consolidation in accordance with their terms. The Consolidation will not affect any Shareholder’s percentage ownership in the Company other than by the minimal effect of the elimination of fractional Common shares, even though Shareholder ownership will be represented by a smaller number of Common Shares.

Letter of transmittals have been mailed to registered Shareholders and registered Shareholders will be required to deposit their share certificate(s), together with the duly completed letter of transmittal, with Computershare Investor Services Inc., the Company's registrar and transfer agent. Non-registered Shareholders holding Common Shares through an intermediary (a securities broker, dealer, bank or financial institution) should be aware that the intermediary may have different procedures for processing the Consolidation than those that will be put in place by the Company for registered Shareholders. If Shareholders hold their Common Shares through intermediaries and have questions in this regard, they are encouraged to contact their intermediaries.

(“POET” or the “Company”) (TSX Venture: PTK; NASDAQ: POET), the designer and developer of the POET Optical Interposer™ and Photonic Integrated Circuits (PICs) for the data center, telecommunication and artificial intelligence markets, today announced “POET Starlight™”, a packaged light source solution for AI applications. POET has entered into an agreement with Celestial AI, creators of the Photonic Fabric™, for development and production of POET Starlight packaged light sources and has received an advanced purchase order for initial production units.

“POET’s Starlight chips and its technology roadmap are complementary to our advanced silicon photonics and system-in-package technologies,” said Preet Virk, Co-founder and COO of Celestial AI. “We are pleased to continue our collaboration with POET Technologies, building on its optical interposer technology to enable us to meet our performance, scale, and cost targets.”

The POET Starlight products are packaged light engines based on POET's LightBar™ platform, which recently earned industry praise when it was demonstrated at OFC. Chip developers are working to redesign the core of computer architecture to incorporate light for communication among chips or to perform complex computations, all in an effort to eliminate the bandwidth and power-efficiency bottlenecks inherent in electronic devices. Each such chip requires one or more light sources able to provide several frequencies of light integrated into the fabric of the device.

POET’s Starlight products integrate active components like lasers and certain other passive optical and electrical components into the optical interposer to provide a complete light source solution that can be integrated on a host board and connected to chips and ASICs with built-in silicon photonics. POET achieves its low-cost solution through the use of features and benefits of the POET Optical Interposer platform and the “semiconductorization” of photonics fabrication processes.

“External light sources for Artificial Intelligence applications has been one of the key verticals for POET Technologies. We are delighted to continue to work with Celestial AI to provide a high-volume manufacturable solution for their optical interconnect technology platform,” said Dr. Suresh Venkatesan, Chairman and CEO of POET Technologies. “The ability for POET to passively attach high power CW lasers on its optical interposer at wafer scale enables the use of single known-good laser chips and eliminates the need for laser arrays which can be cost prohibitive for high-volume applications. The POET team has worked closely with Celestial AI to define a low-cost packaging solution that is up to 75% lower in cost than competing solutions and is highly scalable for the volumes that Celestial AI is projecting.”

POET’s Starlight C-Band and O-Band LightBar products incorporate monolithically integrated passive components like multiplexers, demultiplexers, splitters, combiners, and waveguides. Known-good high power CW lasers and monitor photodiodes are flip chipped and passively attached to the optical interposer platform. POET expects to complete design verification testing and reliability qualification of the Starlight engines by the end of 2023 and start production in the second half of 2024. The size of the AI chip market is projected by Allied Market Research to reach $263 billion by 2031.

    Investing in AI now

Private equity firms have all of the fun. First, the internet boom, then the birth of social media, now AI. They always get there first, while the rest of us wait in line behind the ropes for the grand opening of an IPO, and hope for the best from the scraps we are left. But we may not have to wait after all.

Take Celestial AI, a private company, who on April 11 topped off an initial $56 million capital raise from private investors like Koch Disruptive Technologies,

    www.businesswire.com/news/home/202202...

with this fresh off the presses $95 million infusion:

    edgar.secdatabase.com/1759/1567619230...
(See Section 13 Offering and Sales Amounts)

CAI’s AI chipset’s photonic-electronic platform uses light to drive data within and between chips. This recent capital raise indicates that It is poised to become a multi-billion dollar leader in what will be a trillion dollar AI market. But you can’t invest directly in CAI unless you are already a multi-millionaire.

Enter POET Technologies (NASDAQ:POET), which has been quietly engaged with CAI to develop this critical external light source for their extraordinary photonics driven chipset. On April 25, POET announced this purchase order from CAI:

    www.semiconductor-digest.com/poet-tec...

“Starlight”, a multi laser array, based on POET’s LightBar platform, is mass produced at chip scale at a 75% reduction in cost to competing technologies, with superior performance in signal loss and power consumption. It is a critical hardware component necessary to drive this CAI chipset.

Per the recent Zacks report below, completed in part with data supplied by POET, each CAI chipset will have 4 POET chips, at a cost of $200 per chip. Per the report, “Celestial could represent $800 million in revenue by itself.” Also notable from the report, “We believe most if not everything Celestial is planning to sell contains POET”.

    s27.q4cdn.com/906368049/files/News/20...

POET represents a perfect proxy for early entry into what will be the explosive AI growth to come. While CAI is POET’s first announced AI customer, others are already engaged.

POET’s technology platform is already commercialized in the data/com sector with 100/200/400G products released to production, and proven 800G/1.6T products coming later this year.

POET is mired at an eye-blinking $150 million market cap and a share price of $3.70. It is de-risked, debt free, incredibly undervalued, thinly traded and tightly held, all the while poised to explode as further AI engagements and unmatched data products to 1.6T and beyond emerge over the near and intermediate term. Institutional investment is largely inhibited by the sub $5 share price. When that barrier is removed, expect an influx of institutional interest with the recognition that POET technology has moved from potential to commercialized reality.
